Terms and conditions of sale

GENERAL TERMS AND CONDITIONS OF SALE (France)
 
RULES :
The payment made by the customer must correspond exactly to the amount shown on the invoice, any offsetting being excluded. After two unsuccessful reminders, the recovery of our debt will be entrusted to our legal department. In the event of late payment for any reason whatsoever, interest calculated from the due date shown on the invoice to the day of actual payment will be charged automatically for each additional day, without prior formal notice, at a rate equal to one and a half times the French legal interest rate. In addition to the late payment interest, any ancillary and legal costs associated with this debt will also be charged. Non-payment of an invoice on its original due date will result in the suspension of the execution and delivery of all orders in progress, as well as the resumption of any discounts for early payment.
 
QUALITY AND TRANSPORT/STORAGE

In order to optimise the quality of our wines, they must be transported and stored under the following conditions: They must be kept at a temperature of between 10°C and 17°C. Under no circumstances should they be exposed to a temperature above 20°C or below 5°C. Under no circumstances should they be exposed to a temperature higher than 20°C or lower than 5°C. We decline all responsibility with regard to the quality of the wines sold in the event of non-compliance with these transport and storage conditions. All our goods travel at the recipient’s risk. As our packaging is compliant and approved, we recommend that you check the packages on arrival in the presence of the carrier, who is solely responsible for any shortages or damage, and that you make the usual reservations to the carrier within 3 days by registered letter with acknowledgement of receipt.
 
RETENTION OF TITLE CLAUSE

The goods remain our property until full payment of the price, i.e. actual collection as well as payment of any interest due in application of the “Terms of Payment” of these conditions. The customer may, however, resell these goods in the normal course of business. The resale authorisation is automatically withdrawn in the event of non-payment by the customer. The customer shall bear the risk in the event of loss or destruction of the goods between the time they are taken over at our winery and full payment of the price. Goods still in the buyer’s possession will be presumed to be those still unpaid.
 
JURISDICTION AND APPLICABLE LAW

In the event of a dispute, the Auxerre Commercial Court shall have jurisdiction, even in the event of a guarantee claim or multiple defendants.
